Agreement

These Terms of Use ("Terms") govern your use of Walli, including the iPhone app, widgets, and the web companion at wallicalendar.com (together, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Who we are

The Service is operated by Burkett Investments, LLC ("we", "us", "our"). Support contact: [email protected].

The Service

Walli is a year-at-a-glance calendar for personal and household planning. Access to editing features may require an active Walli Plus membership or lifetime purchase, as shown before purchase. If access expires, Walli may keep the calendar available to view and export while requiring renewed access to edit.

• You may create plans, presence, people, categories, and look preferences on your device.
• Optional Walli Cloud lets you sync a household calendar across devices when you create an account.
• Optional share links expose a calendar snapshot you choose to share.
• Optional integrations (for example Apple Calendar export, notifications, or AI features you enable) require your action and may need system permissions.

Eligibility and accounts

You must be able to form a binding contract in your place of residence. Walli is not directed at children under 13. Do not create a Walli Cloud account for a child under 13.

You are responsible for the accuracy of information you provide, for safeguarding credentials you control, and for activity under your Walli Cloud account and Apple ID related to the Service.

Your content

You retain ownership of calendar content you create (plans, presence, names, notes, and similar). You grant us a limited license to host, process, transmit, and display that content solely to operate the Service you request (for example device storage, Walli Cloud sync, or a share link you create).

You represent that you have the rights needed for content you upload or share, and that your use will not violate law or third-party rights.

Walli Plus and payments

Walli Plus subscriptions are auto-renewable unless canceled. A lifetime option, when offered, is a one-time purchase. Apple processes purchases made in the iPhone app. If direct website purchasing becomes available, Stripe will process website checkout and provide the billing portal. The price, billing period, trial or introductory-offer eligibility, and renewal terms shown at the time of purchase control that transaction.

• Manage or cancel with the provider that processed the purchase: Apple subscription settings for App Store purchases, or the Stripe-hosted billing portal for a future website purchase.
• Refund requests are handled under the applicable payment provider's and Walli's displayed purchase terms.
• We receive purchase and entitlement status so we can provide access; we do not store your full payment card number.

Features labeled Plus may change over time. If we remove a material paid feature, we will do so in a way consistent with App Store rules and applicable law.

Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, or abusive purposes.
• Attempt to break, overload, scrape at abusive rates, or reverse engineer the Service except where law allows.
• Interfere with other users' calendars, accounts, or share links.
• Misrepresent affiliation with Burkett Investments, LLC or Walli.
• Use automated means to create accounts or extract data beyond normal personal backup/export features we provide.

Third-party services

The Service may rely on Apple platforms (App Store, Sign in with Apple, EventKit, and notifications), Cloudflare for hosting and Walli Cloud, and Stripe if direct website purchasing becomes available. Those providers' terms and privacy policies apply to their processing. Optional AI features may send prompts you choose to providers you configure; you are responsible for keys and content you send.

Intellectual property

Walli, the Walli name and marks, app and site design, and our software are owned by Burkett Investments, LLC or its licensors. These Terms do not transfer ownership of our IP to you. You may not copy, modify, or distribute the Service except as allowed by these Terms or applicable law.

Privacy

Our Privacy Policy explains what we collect and how we use it. By using the Service, you also acknowledge that policy.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that calendar data will never be lost. Keep your own backups of important plans.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BURKETT INVESTMENTS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR WALLI PLUS IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD $50. Some jurisdictions do not allow certain limits; in those places, our liability is limited to the fullest extent permitted.

Indemnity

You will defend and indemnify Burkett Investments, LLC against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your misuse of the Service, or your violation of these Terms or law, to the extent permitted by law.

Suspension and termination

You may stop using the Service at any time and may delete local data in the app. You may request Walli Cloud account deletion by emailing [email protected]. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, limits of liability, and indemnity) survive termination.

Changes

We may update these Terms. The "Last updated" date will change when we do. Continued use after an update means you accept the revised Terms for that use. If you do not agree, stop using the Service.

Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your place of residence apply. Courts in Texas will have jurisdiction for disputes that are not subject to a mandatory venue elsewhere, subject to applicable consumer law.

Apple-required notice (iOS App Store)

You acknowledge that these Terms are between you and Burkett Investments, LLC only, not with Apple. Apple is not responsible for the Service or its content. Apple has no obligation to furnish maintenance or support for the Service. To the extent any warranty applies and is not effectively disclaimed, Apple is not responsible for warranty claims. Apple is not responsible for addressing claims relating to the Service or your possession and use of it, including product liability, legal or regulatory failure, and consumer protection claims. Apple is not responsible for investigating, defending, settling, or discharging third-party IP infringement claims. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent you are not in a U.S. embargoed country and are not on a U.S. prohibited or restricted party list.
